Terms of Service

The agreement

These terms are between you and SparrowSoft, the maker of MessageKit. By creating an account or using the service you accept them. If you are agreeing on behalf of a company, you are confirming that you may bind it.

What the service is

MessageKit helps you create and send branded messages — social posts, email and text messages — from a shared library of content. Which features exist changes as the product develops, and we may add, alter or withdraw parts of it. If we withdraw something you rely on, we will tell you first.

Your account

You are responsible for what happens under your account and for everyone you invite into your organization. Sign-in is by emailed code or passkey, so keep control of the mailbox and the devices you sign in with, and tell us promptly if you think somebody else has got in.

Sending to people who asked for it

This is the term we care about most, so it is the plainest one here.

Every customer sends through one shared sending domain. That means one person mailing a list they bought, scraped or guessed at damages delivery for everybody else using MessageKit — the harm is not theoretical and it is not confined to the sender. So:

We may suspend sending immediately if complaint or bounce rates suggest a list was not consented to. We would rather ask you about it first, and usually will, but not at the cost of the domain everybody shares.

Acceptable use

Do not use MessageKit to send anything unlawful, deceptive, harassing or infringing; to impersonate somebody else; to distribute malware; or to attack, overload or reverse-engineer the service. Do not use it to send phishing, and do not resell access without asking us.

Your content

What you put into MessageKit stays yours — your brands, your images, your copy, your lists. You give us only the permission we need to run the service for you: to store your content, process it, render it into messages and deliver it where you tell us to. That permission ends when you delete the content or close your account.

Content the AI writes

MessageKit can draft copy and suggest images for you. Those drafts are generated by a machine: they can be wrong, they can be dull, and they can resemble something else. Read anything before you publish it. Once you send it, it is your message, and you are responsible for it.

Other people's services

Publishing to social networks goes through Buffer and through the accounts you connect yourself. We do not control those services or the networks behind them: they change their rules, their limits and their availability, and a post they reject or remove is between you and them. The same goes for stock photography you bring in, which carries its own licence terms.

Fees

Paid plans are billed in advance through Stripe on the cycle you choose, and renew until you cancel. Cancelling stops the next renewal and leaves you with the service until the end of the period you have paid for. Fees already paid are not refunded except where the law requires it. We will give at least 30 days' notice by email before changing a price.

Availability

We work to keep MessageKit running and we do not promise it always will be. The service is provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any message will be delivered, published or seen — delivery depends on mailbox providers and social networks we do not control.

Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data. Our total liability arising out of these terms is limited to the amount you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot lawfully be limited.

Indemnity

You will defend and indemnify us against claims arising from your content, the messages you send, the lists you send them to, or your breach of these terms.

Suspension and ending it

You may close your account at any time. We may suspend or close an account that breaches these terms, and we will tell you why. On closure we delete your data as described in the Privacy Policy, so export anything you want to keep first.

Changes to these terms

We may update these terms. We will change the date at the top and email account holders before any material change takes effect. Continuing to use MessageKit afterwards means you accept the new version.

Governing law

These terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules, and the courts of the State of Georgia will hear any dispute arising from them.
